These Terms & Conditions (“Terms”) govern your use of the Miami-Dade Chamber of Commerce, Inc. (“MDCC,” “we,” “our,” or “us”) websites, including m-dcc.org, and your participation in or use of our memberships, events, workshops, technical assistance services, sponsorship opportunities, office rentals, donations, appointment scheduling, online forms, and text messaging communications.
By accessing our websites, submitting information to us, registering for an event, applying for membership, making a payment or donation, scheduling an appointment, opting in to text messages, or otherwise using MDCC services, you agree to these Terms.
1. ABOUT MDCC
Miami-Dade Chamber of Commerce, Inc. is a nonprofit business organization that provides memberships, networking opportunities, events, workshops, technical assistance, advocacy, business resources, sponsorship opportunities, and related services intended to support business and community development.
2. USE OF WEBSITE AND SERVICES
You agree to use our websites and services only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use of the website or Chamber services.
You may not:
- use the website in any unlawful, fraudulent, deceptive, or harmful manner;
- attempt to gain unauthorized access to any portion of the website, systems, accounts, or data;
- interfere with the operation, security, or performance of the website;
- submit false, misleading, or incomplete information through our forms, applications, registrations, or communications.
We reserve the right to deny, suspend, or terminate website access, membership, event participation, or service access if we believe a user has violated these Terms, Chamber policies, applicable law, or the safety and integrity of our operations.
3. MEMBERSHIPS, REGISTRATIONS, DONATIONS, AND PAYMENTS
Memberships, event registrations, sponsorships, office rental reservations, donations, and other Chamber-related payments are subject to the specific pricing, eligibility, and participation terms posted or provided at the time of purchase, registration, or application.
You agree to provide current, complete, and accurate payment and contact information for all transactions and registrations.
MDCC may use third-party processors or platforms to process transactions, registrations, appointments, and related services.
4. REFUND POLICY
Except as otherwise expressly stated by MDCC in writing or required by law, no refunds will be provided for memberships, donations, sponsorships, event registrations, office rentals, or other payments made to MDCC.
If you wish to cancel your membership, you must provide written notice to bjames@m-dcc.org. A confirmation of your cancellation request will be sent to you via email. A $15.00 administrative cancellation fee may be applied where permitted.
If your membership is cancelled by MDCC, MDCC will issue a full refund of the membership fee paid for the cancelled membership period and any Chamber registration fees paid directly to MDCC that are tied to that cancelled membership, unless the cancellation resulted from your violation of these Terms, another applicable Chamber policy, fraud, chargeback abuse, or unlawful conduct.
To the fullest extent permitted by law, you waive any claim for consequential, incidental, or special damages arising from a cancellation, denial of membership, or denial of service access.
5. CREDIT CARD DETAILS AND PAYMENT PROCESSING
MDCC may request credit card or other payment information when you complete online memberships, donations, registrations, rentals, sponsorship payments, or other transactions.
MDCC does not store full credit card information on its own systems. Payment information is transmitted securely to our third-party payment processor, including Authorize.net or another processor selected by MDCC.
You are responsible for ensuring that your payment information is accurate and that your payment method is authorized for use.
6. APPOINTMENTS, WORKSHOPS, TECHNICAL ASSISTANCE, AND BUSINESS RESOURCES
MDCC may offer one-on-one technical assistance, educational workshops, referrals, information sessions, networking events, and related business support services.
These services are offered for general educational, informational, and business support purposes only. They do not constitute legal, tax, accounting, financial, investment, insurance, compliance, or other professional advice, and they should not be relied upon as a substitute for advice from a qualified professional.
MDCC does not guarantee any particular result from participation in Chamber programs or services, including without limitation:
- receipt of a grant, loan, or investment;
- award of a contract, procurement opportunity, or certification;
- business growth, profitability, or revenue increase;
- approval of an application by any third party;
- job placement, hiring outcome, or economic result.
You remain solely responsible for your own business, legal, financial, tax, and operational decisions.
7. TEXT MESSAGING TERMS OF SERVICE
By opting in to receive SMS or MMS messages from MDCC through a web form, event registration, membership application, appointment form, intake form, rental inquiry, sponsorship inquiry, written form, verbal consent process, or other documented communication channel, you agree to receive text messages from Miami-Dade Chamber of Commerce.
These messages may include:
- responses to your inquiries;
- one-to-one conversational messages;
- appointment reminders and scheduling messages;
- technical assistance updates and follow-up;
- membership-related notices;
- event and workshop reminders;
- application, registration, rental, or service updates;
- follow-up communications related to Chamber programs, services, resources, opportunities, or events that you requested, joined, or participated in.
Messaging frequency may vary. Message and data rates may apply.
You can opt out at any time by replying STOP to any message. After you send STOP, you may receive one final confirmation message confirming your opt-out. You can get help at any time by replying HELP.

Your consent to receive text messages is voluntary and is not a condition of purchase, donation, Chamber membership, event registration, office rental, technical assistance, or receipt of any Chamber service.
MDCC does not sell, rent, or share mobile phone numbers, SMS opt-in data, or text messaging consent with third parties or affiliates for their own marketing or promotional purposes. We may disclose such information only to vendors or service providers that support message delivery, communications platforms, customer support, scheduling, or related services on our behalf and only for those limited purposes.

All copyright, trademarks, service marks, trade names, logos, graphics, website design, page layouts, text, photographs, videos, downloads, software, and other content made available through MDCC websites or services are owned by or licensed to MDCC or otherwise used with permission and are protected by applicable intellectual property laws.
You may view, download, or print portions of the website solely for your personal, internal, non-commercial use related to your interaction with MDCC, provided you do not remove any copyright, trademark, or proprietary notices.
Except as expressly permitted in writing by MDCC, you may not reproduce, republish, distribute, modify, create derivative works from, display, transmit, store, sell, license, or commercially exploit any website content or Chamber materials.

MDCC reserves the right to:

Your continued use of the website or Chamber services after updated Terms are posted constitutes your acceptance of the revised Terms.
13. DISCLAIMERS AND LIMITATION OF LIABILITY
THE WEBSITE AND ALL MDCC CONTENT, COMMUNICATIONS, PROGRAMS, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, COMPATIBILITY, SECURITY, OR ACCURACY.
TO THE FULLEST EXTENT PERMITTED BY LAW, MDCC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF BUSINESS, REVENUE, PROFITS, GOODWILL, DATA, OPPORTUNITY, OR EXPECTED BENEFIT, ARISING OUT OF OR RELATING TO THE WEBSITE, TEXT MESSAGES, MEMBERSHIP, EVENTS, WORKSHOPS, TECHNICAL ASSISTANCE, DONATIONS, RENTALS, OR ANY OTHER CHAMBER SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, MDCC’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE OR CHAMBER SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID DIRECTLY TO MDCC FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
14. INDEMNITY
You agree to indemnify, defend, and hold harmless MDCC and its officers, directors, employees, agents, contractors, volunteers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the website or Chamber services; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party; or (d) any information or materials you submit to MDCC.
15. SEVERABILITY
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall remain in full force and effect.
16. WAIVER
No failure or delay by MDCC in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. Any waiver by MDCC must be in writing to be effective.
17. GOVERNING LAW AND VENUE
These Terms and any dispute arising out of or relating to the website, SMS communications, or any MDCC program, service, membership, donation, payment, event, rental, or transaction shall be governed by the laws of the State of Florida, without regard to its conflict of laws principles.
Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction and venue of those courts.
18. ELECTRONIC COMMUNICATIONS
By using the website, submitting forms, registering for events, applying for membership, making payments, or communicating with MDCC electronically, you consent to receive communications from MDCC electronically, including by email, website posting, and, where you have opted in, by SMS text message.
19. ENTIRE AGREEMENT
These Terms, together with any other policies, terms, or conditions specifically referenced on the website or provided in connection with a particular MDCC service, event, membership, rental, donation, or program, constitute the entire agreement between you and MDCC regarding the subject matter covered herein and supersede any prior understandings or agreements regarding that subject matter.
